Terms and Conditions

You must be of legal age to enter into a binding agreement in order to accept this Agreement. By using any of our Services, you signify your acceptance of this Agreement. If you do not agree to the General Terms, do not use any of our Services.

Description of Service

TORKEHUB provides cloud software and applications for businesses, including associated offline and mobile applications (referred to as the "Services"). The Services can be used for personal and business purposes or for internal business purposes in the organization that you represent. You may access the Services using any Internet browser supported by the Services. It is your responsibility to have access to the Internet and the equipment necessary to use the Services. You can create, edit, publish, and share content using your user account.

Beta Service

TORKEHUB may offer certain Services as closed or open beta services ("Beta Service" or "Beta Services") for testing and evaluation purposes. TORKEHUB reserves the right to determine the period for testing and evaluation of Beta Services. TORKEHUB will evaluate the success of such testing and decide whether to offer the Beta Services as commercial services. You are not obligated to acquire a subscription to any paid Service as a result of your subscription to any Beta Service. TORKEHUB may discontinue Beta Services, partially or fully, temporarily or permanently, with or without notice. TORKEHUB will not be liable for any harm related to the modification, suspension, or discontinuance of any Beta Service.

Free Trial

If you register for a free trial of any Services, TORKEHUB will make the applicable Services available to you on a trial basis free of charge. The free trial period ends when (i) the trial period expires, (ii) the paid subscription period starts, or (iii) TORKEHUB terminates the trial at its sole discretion. Any data or customizations made during the free trial may be permanently lost unless you purchase the corresponding paid subscription plan or export such data before the end of the trial period. TORKEHUB provides the free trial Services "as-is" without any warranty, covenant, support, or liability.

User Sign-up Obligations

To access and use the Services, you need to sign up for a user account by providing all required information. If you represent an organization, it is recommended that all users from your organization sign up for user accounts using corporate contact information. You agree to provide accurate and complete information during the sign-up process and to keep this information up to date. TORKEHUB may terminate your user account if the provided information is untrue, inaccurate, outdated, or incomplete.

Restrictions on Use

You are prohibited from transferring or making the Services available to any third party without prior written permission. You shall not allow user licenses to be shared or used by more than one individual unless reassigned to a new user. Reverse engineering, disassembling, or decompiling the Services is not permitted, except where permitted by applicable law. You shall not use the Services in any manner that violates applicable laws, infringes intellectual property rights, or disrupts the integrity, security, or performance of the Services. Additionally, you agree not to host, display, upload, modify, publish, transmit, store, or share any unauthorized or harmful content.

Spamming and Illegal Activities

You are solely responsible for the content you transmit through the Services and agree not to use the Services for illegal purposes or for transmitting unlawful, abusive, offensive, harmful, or objectionable material. Sending junk mail, spam, chain letters, or unsolicited mass distribution of email is prohibited. TORKEHUB may terminate your access to the Services if there are reasonable grounds to believe you have engaged in illegal or unauthorized activities.

Third-Party Applications

TORKEHUB Services may integrate with third-party applications. Access and use of these third-party applications may be subject to their terms of service and privacy policies. TORKEHUB is not liable for any third-party applications and reserves the right to suspend, restrict, or disable access to any third-party applications without liability.

Fees and Payments

TORKEHUB offers subscription plans with various durations. Payment for subscription plans can be made by credit card. Your subscription will be automatically renewed at the end of each period unless you downgrade your plan or inform TORKEHUB before the renewal date. If you do not wish to renew, you must inform TORKEHUB at least seven days prior. Taxes, if applicable, will be invoiced along with the subscription fees. TORKEHUB may change the price or start charging for currently free Services with prior notice.

Organization Accounts and Administrators

If you sign up for an account for your organization, you may appoint administrators who have the right to configure the Services and manage users within the organization. You are responsible for maintaining the confidentiality of your account password and appointing competent administrators. TORKEHUB is not responsible for internal management of your organization's account.

Personal Information and Privacy

Personal information provided by you is governed by the TORKEHUB Privacy Policy. TORKEHUB is not responsible for any unauthorized access or use of your user account and you should promptly inform TORKEHUB of any such incidents.

Disclaimer of Warranties

The Services are provided on an "as-is" and "as-available" basis. TORKEHUB disclaims all warranties, whether express or implied, including merchantability and fitness for a particular purpose. TORKEHUB does not warrant uninterrupted, timely, or error-free Services. Users bear all risks associated with the use of the Services.

Limitation of Liability

TORKEHUB shall not be liable for any consequential, incidental, indirect, special, or other loss or damage resulting from the use or inability to use the Services. TORKEHUB's liability, if any, shall not exceed the fees paid by you during the twelve (12) months prior to the first event giving rise to such liability.

Indemnification

You agree to indemnify and hold TORKEHUB harmless from any losses, damages, fines, and expenses arising from your use of the Services in violation of another party's rights, applicable laws, or any provisions of this Agreement.

Governing Law and Jurisdiction

The governing law and jurisdiction applicable to any dispute or lawsuit arising from this Agreement depend on your billing address or your state/country of domicile. Each party agrees to the governing law and exclusive jurisdiction of the related courts for any dispute or lawsuit.

Suspension and Termination

TORKEHUB may suspend or terminate your user account in case of suspected illegal activity, extended inactivity, or by law enforcement request. You may terminate your account upon request. TORKEHUB reserves the right to terminate your account and deny Services if you violate this Agreement or in case of technical issues or discontinuation of services.

Modification of Terms of Service

TORKEHUB may modify this Agreement and will provide notice of significant changes. If you continue to use the Services after changes to the Agreement, it will be considered your acceptance of the modified terms.
